Terms of Service

These Terms of Service ("Terms") govern your use of the website at https://larson.help and any consulting or related services provided by Larson Consulting LLC ("Larson Consulting", "we", "us"). By using the website, contacting us, or engaging us for services, you agree to these Terms and our Privacy Policy.

1. Services

Larson Consulting provides AI automation consulting and related software development services to small businesses. Typical engagements include lead response automation, document search, workflow automation, and similar integrations. The specific scope, deliverables, timeline, and pricing of any engagement will be agreed in writing (email is acceptable) before work begins.

2. Engagement Terms

Each engagement is scoped per-project. Unless otherwise agreed in writing, setup work is billed as a one-time project fee due in two installments (50% at start, 50% on delivery); monthly support is billed at the agreed monthly rate in advance, cancelable by either party with 30 days notice; out-of-scope changes require a written change order with revised scope and pricing.

3. Payment

Invoices are due net 15 days from invoice date. Late payments may incur a finance charge of 1.5% per month on the unpaid balance, or the maximum allowed by Pennsylvania law, whichever is lower. We may suspend work if payment is more than 30 days overdue.

4. Intellectual Property and Work Product

On full payment for a deliverable, you receive a perpetual, non-exclusive license to use that deliverable in your business. Larson Consulting retains ownership of any pre-existing tools, libraries, frameworks, prompts, or methodologies developed prior to or outside the engagement, and may reuse those in other engagements. Open-source components are licensed under their respective licenses.

5. Confidentiality

We treat your business information as confidential and will not share your business data, customer lists, internal processes, or other non-public information with third parties except as required to deliver the services, as required by law, or with your written consent. A formal NDA can be put in place on request.

6. Limitation of Liability

To the maximum extent permitted by law, Larson Consulting's total liability for any claim arising out of or related to the services is limited to the fees you paid for the specific engagement giving rise to the claim during the three months preceding the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or business interruption. The services and deliverables are provided "as is" without warranties of any kind, express or implied, except as explicitly stated in a written engagement agreement.

7. Acceptable Use

You agree not to use the website or services for any unlawful purpose, to harass others, to send spam, to circumvent security, or to interfere with our systems. We may suspend or terminate access for violations.

8. Third-Party Services

Some deliverables integrate with third-party services (cloud hosting, AI model providers, scheduling tools, communication platforms); your use of those is subject to their terms, and we do not warrant their availability or behavior.

9. Termination

Either party may terminate an engagement for material breach not cured within 30 days of written notice; on termination you remain responsible for fees for work performed up to that date; monthly support may be canceled with 30 days written notice by either party.

10. Governing Law and Disputes

These Terms are governed by the laws of the Commonwealth of Pennsylvania without regard to conflict-of-law principles; any dispute shall be brought in the state or federal courts in Washington County, Pennsylvania, and you consent to the personal jurisdiction of those courts.

11. Changes to These Terms

We may update these Terms; material changes are posted here with an updated revision date, and continued use after a change constitutes acceptance.
